HEADSPACE DREAM TEAM CONTEST OFFICIAL RULES

Participation in this contest (the “Contest”) is subject to and governed by these Official Rules (the “Official Rules”). By entering the Contest as set forth below, you agree to be bound by these Official Rules as well as Headspace’s Terms and Conditions and Privacy Policy.

All federal, state, and local laws and regulations apply. VOID WHERE PROHIBITED BY LAW.

1. ELIGIBILITY As of the date of participation in the Contest, participant must be eighteen (18) years of age or older and located in the United States (“Eligible Participant”). Headspace Inc. and Hyatt Hotels Corporation employees are not eligible to participate in the Contest. Each Eligible Participant who submits a video constitutes an “Entrant”. Headspace reserves the right to disqualify any Entrant if it has reasonable grounds to believe the Entrant has breached the Official Rules or Headspace’s Terms and Conditions or Privacy Policy. False or deceptive Entries (as defined below) or acts shall render Entrant ineligible.

2. HOW TO ENTER THE CONTEST To enter the Contest Eligible Participants must record and post a video on their TikTok or Instagram accounts. The video must incorporate a bedtime story based on the script provided by Headspace, tag @headspace and use the companion hashtag #headspacedreamteam. Participants must post their video to their TikTok or Instagram account during the Entry Period (as defined in Section 3). Any such submitted video constitutes an “Entry”.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.

Limit: one (1) Entry per Eligible Participant.

3. ENTRY PERIOD Participants must post their video to their TikTok or Instagram account between March 10, 2025 and March 23, 2025 (the “Entry Period”).

4. WINNER SELECTION Headspace will select eight (8) Entrants based on but not limited to the following factors: vocal quality, engagement and storytelling, brand fit, delivery and pacing and authenticity and uniqueness. On March 25, 2025 Headspace will re-post each of the eight (8) Entrants’ videos on Headspace’s social media pages. On March 31, 2025, the Entrant with the most likes on Headspace’s collective social media pages will be selected as the winner (“Winner”). Headspace will notify the Winner by direct messaging the social media account that the Winner posted their video to. If the Winner does not respond within five (5) days, their prize will be forfeited and Headspace will select an alternate Winner.

Each Entrant hereby acknowledges that anything they post to social media accounts is public information and agrees to Headspace re-posting their video for the purposes of this Contest. Proof of submission does not constitute proof of receipt.

Headspace reserves the right to disqualify any Entrants in its sole discretion at any point during the Contest or after selecting a Winner. If disqualified, Entrant is not entitled to the Prize (defined below) or the cash value of the Prize. If there is a dispute as to the identity of Winner, the Prize will be awarded to the narrator of the winning Entry. If a dispute cannot be resolved to Headspace’s satisfaction, the affected Entry will be deemed ineligible and Headspace will select an alternate Winner.

5. PRIZE INFORMATION The Winner will to receive (a) a lifetime membership to the Headspace app, (b) a $1,000 cash prize, (c) airfare to and from Los Angeles, (c) two (2) night hotel accommodations at The Shay Hotel with a $250 food and beverage credit, and (d) the opportunity to narrate one Headspace Sleepcast (collectively the “Prize”), subject to limitations below.

Headspace will pay for and book the airfare for the Winner. The flights selected are at the sole discretion of Headspace. The two-night stay at The Shay Hotel is for one (1) Winner in a standard King Suite. The stay must be completed on or before December 31, 2025. Advance reservations required to redeem the stay. Subject to availability and blackout dates. In accordance with standard guest policies, Winner shall be required to provide a credit card at check in to cover incidentals, if any. ARV for the stay: $800 USD. The $250 food and beverage credit is to be used only during stay for use at participating property outlets. Meals shall not include alcoholic beverages. Specific meal components are subject to availability and are at the sole discretion of The Shay hotel. There are no refunds or credit for unused portions of this benefit.

Headspace reserves the right to substitute a Prize or any portion thereof of comparable or greater value at any time in its sole discretion. No Prize may be sold, bartered, endorsed, transferred, exchanged or modified in any way by the Winner. Winner may not substitute cash value for the Prize. All Prizes are awarded without any warranty of any kind.

6. INTELLECTUAL PROPERTY By submitting an Entry, you hereby agree that you are responsible and liable for the content you post. You represent and warrant that the Entry does not use another person’s name or infringe or otherwise violate another person or entity’s rights. If Headspace believes that an Entry contains any infringement material, Headspace may disqualify such Entry and prohibit the Eligible Participant from submitting future Entries.

7. GENERAL RULES The Contest is not sponsored, endorsed, administered by, or associated with Instagram or TikTok. By submitting an Entry, you hereby agree to comply with Instagram and TikTok’s terms and conditions, promotion guidelines and community guidelines.

Any Winner may be required to provide proof of age and contact information via a scanned copy of their government issued ID within two (2) business days or the Prize may be forfeited and alternate Winner may be selected. Each Winner may also be required to provide any additional information that may be necessary, including but not limited to signing, notarizing, and returning an Affidavit of Eligibility and Liability and Publicity Release (except where prohibited by law), or Prize may be forfeited. Once the Winner’s eligibility is verified, Headspace will proceed to issue the Prize.

Applicable taxes or surcharges related to the Prize are the sole and exclusive responsibility of Winner. Return of any Prize or Prize notification as undeliverable will result in disqualification and Headspace will select an alternate Winner. Headspace shall have no liability for any Winner notification that is lost, intercepted or not received by a Winner for any reason. Winning is contingent on fulfilling all requirements set forth in these Official Rules. Headspace, its parents, subsidiaries, affiliates, directors, officers, agents, employees, and its vendors assume no responsibility or liability for damages, losses or injury resulting from acceptance or use/misuse of Prize. Any fees, duties, or tariffs required to accept delivery of any Prize is the sole responsibility of Winner. Headspace’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision.

Headspace reserves the right to cancel or modify the Contest if fraud, technical failures or any other factor beyond Headspace’s reasonable control impairs the integrity of the Contest, as determined by Headspace in its sole discretion. Headspace may change, cancel, or modify the Contest or these Official Rules at any time without prior notice.

8. RELEASE OF LIABILITY By submitting an Entry or otherwise participating, you understand and agree: (i) to be bound by these Official Rules and by all applicable laws and the decisions of Headspace which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; and (iii) to waive all of your rights to bring any claim, action, or proceeding against Headspace, Instagram or TikTok in connection with the Contest.
